1. Introduction
This Main Services Agreement ("Agreement") is entered into between Caddie AI Inc. ("Caddie," "Company," "we," "us") and the customer or user ("Customer," "you") accessing our services (the "Services"). This Agreement governs the use of Caddie’s platform, including tools used to screen, evaluate, and engage candidates for job opportunities.
By using the Services—including creating an account, inviting candidates, posting jobs, or submitting applications—you agree to be bound by this Agreement.
2. Services and Access
2.1 Service Provision
Caddie will make the Services available through its web-based platform. You may access features such as job postings, candidate screening, async interviews, scoring, and dashboard tools.
Access may be restricted, suspended, or revoked at our discretion for any violation of these terms or applicable laws.
2.2 Candidate Participation
Candidates may be invited or may apply directly through the Caddie platform. When they do, they may be asked to submit personal information, resumes, written responses, and video interviews. Employers and hiring teams agree to use this information solely for hiring-related purposes in compliance with applicable laws.
Caddie retains the right to store candidate submissions for up to three (3) years, unless removal is requested.
3. Restrictions and Responsibilities
3.1 Prohibited Actions
You agree not to:
Reverse engineer, decompile, or disassemble any part of the Service.
Use the Service for unlawful, discriminatory, or unethical hiring practices.
Upload false, misleading, or malicious content.
Circumvent or violate data privacy protections.
3.2 Security
You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account. If you suspect unauthorized use, you must notify us immediately.
Caddie implements technical safeguards to protect all data processed through the platform, including candidate and employer information.
3.3 Legal Compliance
All users must comply with applicable data privacy, employment, and anti-discrimination laws when using the Service.
4. Candidate Data and Use of AI
Caddie uses AI to assist in screening and matching candidates to job roles. This includes scoring candidates based on skills, experience, and relevance to job requirements.
We do not sell candidate data. Candidate information may be used to:
Evaluate fit for a specific role
Recommend other relevant opportunities
Improve platform functionality
Human oversight is applied to ensure AI-driven assessments remain fair, relevant, and explainable.
5. Confidentiality and Proprietary Rights
5.1 Proprietary Information
Both parties may exchange confidential information in the course of using the Service. Confidential information includes, but is not limited to, hiring strategies, non-public platform features, candidate data, and evaluation logic.
5.2 Data Ownership
Customers retain rights to content and job-related information they upload.
Candidates retain rights to their personal data and interview submissions.
Caddie retains all rights to its platform, tools, evaluation systems, and any related intellectual property.
We may aggregate and anonymize usage data to improve the platform and monitor performance trends.
6. Term and Termination
This Agreement remains in effect for as long as you access or use the Services.
Caddie may terminate or suspend access at any time for violation of these terms, misuse of the platform, or legal requirements. You may stop using the Service at any time. Upon termination:
You are no longer permitted to access the platform.
Any remaining data may be retained in accordance with our privacy policy or legal obligations.
7. Warranty Disclaimer
We provide the Services “as is” without warranties of any kind. We do not guarantee that the platform will be error-free, uninterrupted, or that results (e.g., hires) will be achieved.
To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the fullest extent allowed by law, Caddie and its affiliates are not liable for:
Indirect, incidental, or consequential damages
Lost profits or business interruption
Any decisions or hiring outcomes based on candidate data or scoring
Our total liability is limited to the value of Services provided within the 12 months preceding any claim.
9. Miscellaneous
This Agreement is governed by the laws of Ontario, Canada.
You may not assign or transfer this Agreement without our written consent.
If any provision is deemed invalid, the remainder remains in effect.
This Agreement does not create a partnership, joint venture, or agency.

(a) Information from Employers and Users Creating Accounts

When candidates apply to a job or are invited to the Caddie platform, we collect:
Personal and Professional Information: Name, email address, phone number, location, LinkedIn URL, resume, job titles, previous experience, and salary expectations.
Screening Responses: Written or video answers to job-specific questions.
Interview Content: Async interviews, assessments, and supporting documents provided via the Caddie platform.
Matching Criteria: Tags or ratings used to assess suitability for a specific role.
Candidates voluntarily share this information to participate in hiring processes and be considered for other potential roles.
3. Use of AI Tools and Data Handling
We use AI tools to help employers screen and assess candidates more efficiently. Our AI may:
Analyze candidate responses and application data against job requirements.
Score or rank candidates based on alignment with role-specific criteria.
Suggest candidates for other job opportunities where there may be a stronger match.
Privacy Protections:
Human Oversight: All AI-generated insights are reviewed by hiring professionals to ensure fairness and relevance.
Data Minimization: We only collect what is necessary for recruitment-related decision-making.
Sensitive Data: We do not collect Social Insurance Numbers, home addresses, financial data, or other sensitive personal identifiers.
We do not sell candidate or employer data under any circumstances.
4. How We Use Your Information
We use collected data to:
Operate and maintain our hiring platform.
Match candidates to relevant job opportunities.
Facilitate communication between candidates and employers.
Personalize recommendations and improve hiring workflows.
Analyze performance and improve our Services.
Comply with legal and regulatory obligations.
You may opt out of non-essential communications by contacting privacy@hirecaddie.ai, though essential service-related messages will still be sent.
5. Data Retention
Employer and Platform Data: Retained as long as needed to provide Services and maintain business records.
Candidate Data: Retained for up to three (3) years from the date of last activity, unless otherwise requested.
Candidates may request deletion of their data at any time, and we will comply unless we are required to retain it for legal, security, or operational reasons.
6. Security Measures
We take data protection seriously and implement the following safeguards:
Encryption: All data is encrypted in transit and at rest.
Access Controls: Only authorized personnel can access user or candidate data.
Monitoring: We conduct regular security reviews and audits.

9. International Data Transfers
Caddie may process or store data in jurisdictions outside your home country. We implement safeguards to ensure compliance with applicable privacy regulations.
10. Children’s Privacy
The Service is not intended for individuals under the age of 13. We do not knowingly collect personal information from children. If you believe a child has provided us with personal data, please contact contact@hirecaddie.ai and we will promptly delete it.
