Caddie AI Inc. Terms of Service

1. Introduction

This Main Services Agreement ("Agreement") is entered into between Caddie AI Inc. ("Caddie," "Company," "we," "us") and the customer or user ("Customer," "you") accessing our services (the "Services").

This Agreement governs the use of Caddie’s go-to-network hiring platform, which enables candidate discovery, profile enrichment, verified contact access, superconnector integration, referrals, and optional direct job applications.

By using the Services—including creating an account, searching candidates, requesting introductions, posting opportunities, or inviting candidates—you agree to be bound by this Agreement.

2. Services and Access

2.1 Service Provision

Caddie provides Services through a web-based platform that enables:

  • Discovery of candidates via enriched public and licensed data sources.

  • Access to verified candidate contact information.

  • Ranking, filtering, and matching of profiles against opportunities.

  • Integration with networks and superconnectors to facilitate referrals and introductions.

  • Optional direct apply functionality for candidates.

Access may be restricted, suspended, or revoked at our discretion for violations of this Agreement or applicable laws.

2.2 Candidate Participation

Candidates may appear in the platform through one or more sources:

  • Voluntary application via Caddie’s direct apply functionality.

  • Submission via a referral or superconnector.

  • Enrichment from publicly available information and licensed third-party data providers.

Employers and hiring teams agree to use candidate information solely for legitimate hiring-related purposes and in compliance with all applicable laws, including privacy, anti-discrimination, and employment laws.

Caddie may store candidate information for up to three (3) years, unless deletion is requested by the candidate or otherwise required by law.

3. Restrictions and Responsibilities

3.1 Prohibited Actions

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service.

  • Use the Service for unlawful, discriminatory, or unethical hiring practices.

  • Upload or distribute false, misleading, or malicious content.

  • Circumvent, disable, or violate data privacy protections.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you suspect unauthorized use, you must notify us immediately.

Caddie implements technical safeguards to protect data processed through the platform, including both candidate and employer information.

3.3 Legal Compliance

All users must comply with applicable data privacy, employment, and anti-discrimination laws when using the Service.

4. Candidate Data and Use of AI

Caddie uses AI to enrich, rank, and match candidate profiles against job opportunities. This includes:

  • Analyzing profiles for alignment with role requirements.

  • Ranking and recommending candidates.

  • Suggesting introductions and referral opportunities.

  • Improving platform functionality and performance.

We do not sell candidate data. Candidate information may be used to:

  • Evaluate fit for specific opportunities.

  • Recommend other relevant roles.

  • Facilitate introductions and referrals.

  • Enhance and improve the Service.

Human oversight is applied to ensure AI-driven outputs remain fair, relevant, and explainable.

5. Confidentiality and Proprietary Rights

5.1 Proprietary Information

Both parties may exchange confidential information in the course of using the Service. Confidential information includes, but is not limited to, hiring strategies, non-public platform features, candidate data, and evaluation logic.

5.2 Data Ownership

  • Customers retain rights to content and information they upload.

  • Candidates retain rights to their personal data and referral submissions.

  • Caddie retains all rights to its platform, enrichment tools, algorithms, and related intellectual property.

We may aggregate and anonymize usage data to improve the platform and monitor performance trends.

6. Term and Termination

This Agreement remains in effect for as long as you access or use the Services.

Caddie may suspend or terminate access at any time for violation of these terms, misuse of the platform, or legal requirements. You may stop using the Service at any time.

Upon termination:

  • You may no longer access the platform.

  • Data may be retained in accordance with our Privacy Policy or as required by law.

7. Warranty Disclaimer

We provide the Services “as is” without warranties of any kind. We do not guarantee uninterrupted availability, error-free performance, or specific hiring outcomes.

To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Caddie and its affiliates are not liable for:

  • Indirect, incidental, or consequential damages.

  • Lost profits, business interruption, or reputational harm.

  • Any hiring decisions or outcomes based on candidate data or AI recommendations.

Our total liability is limited to the value of Services provided within the 12 months preceding any claim.

9. Miscellaneous

  • This Agreement is governed by the laws of Ontario, Canada.

  • You may not assign or transfer this Agreement without our written consent.

  • If any provision is found invalid, the remainder remains enforceable.

  • This Agreement does not create a partnership, joint venture, or agency.

Caddie AI Inc. ("Caddie," "we," "us") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, and protect information when you use our go-to-network hiring platform (the "Service").

The Service is used by employers, recruiters, and hiring professionals to discover and connect with candidates, and by candidates who apply directly, are referred, or whose profiles are enriched from public and licensed sources.

By using the Service, you agree to this Privacy Policy. If you do not agree, please do not use the Service.

2. Information We Collect

(a) From Employers and Users Creating Accounts

  • Account Information: Name, email, company details, billing information, and account preferences.

  • Usage Data: Search history, referral requests, and engagement with candidate profiles.

(b) From Candidates

Candidates may appear in the platform through:

  1. Voluntary Submissions – Information provided when applying directly or via referral, such as name, contact info, resume, experience, and job-related details.

  2. Enriched Data – Information obtained from publicly available sources and licensed data providers, such as professional history, skills, and contact information.

  3. Referrals – Information submitted by superconnectors or network contacts who recommend a candidate for an opportunity.

We do not collect sensitive identifiers such as Social Insurance Numbers, home addresses, or financial account information.

3. Use of AI Tools and Data Handling

Caddie uses AI to:

  • Enrich candidate profiles.

  • Rank and recommend candidates for relevant opportunities.

  • Suggest referrals and introductions.

  • Improve matching accuracy and platform functionality.

Privacy Protections:

  • Human Oversight: All AI-driven outputs are subject to review.

  • Data Minimization: Only relevant professional information is collected.

  • No Sale of Data: Candidate and employer data is never sold.

4. How We Use Information

We use collected data to:

  • Operate and maintain the platform.

  • Enable candidate discovery, introductions, and referrals.

  • Match candidates to relevant opportunities.

  • Facilitate communication between candidates and employers.

  • Improve platform features and user experience.

  • Comply with legal and regulatory requirements.

5. Data Retention

  • Employer/Platform Data: Retained as long as needed to provide Services and maintain business records.

  • Candidate Data: Retained for up to three (3) years unless deletion is requested, or longer if required by law.

Candidates may request deletion at any time, unless retention is legally required.

6. Security Measures

We implement safeguards to protect data, including:

  • Encryption: All data encrypted in transit and at rest.

  • Access Controls: Limited access for authorized personnel only.

  • Monitoring: Ongoing audits and monitoring of platform security.

  • Secure Infrastructure: Data hosted with reputable providers that comply with industry standards.

While no system is fully secure, we follow industry best practices to protect your data.

7. Your Privacy Rights

You may:

  • Access and update your personal information.

  • Request deletion of your profile or referral submission.

  • Opt out of being matched to future opportunities.

We will verify identity and comply with requests under applicable laws.

8. Third-Party Links

The Service may contain links to third-party sites. We are not responsible for their privacy practices. Please review third-party policies before providing personal information.

9. International Data Transfers

Data may be processed or stored outside your home country. Safeguards are implemented to ensure compliance with applicable privacy laws.

10. Children’s Privacy

The Service is not intended for individuals under 13. We do not knowingly collect data from children. If a child’s data is discovered, we will delete it promptly.

11. Changes to This Privacy Policy

We may update this Privacy Policy periodically. Updates will be posted with an updated “Effective Date.” Material changes may be communicated directly.
