Caddie AI Inc. Terms of Service (Marketplace + Recruiting Terms)

These Terms of Service (the “Terms”) are a binding agreement between Caddie AI Inc. (“Caddie,” “we,” “us,” “our”) and you (the “User,” “you,” “your”). They govern your access to and use of Caddie’s website, applications, and related services (collectively, the “Platform” or “Services”).
By clicking “I agree,” creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Who Caddie Is
Caddie is a hiring marketplace and recruiting platform that helps connect:
  • organizations hiring for roles (“Employers” or “Clients”),
  • independent recruiters and agencies (“Recruiters”),
  • job seekers (“Candidates”), and
  • individuals who refer candidates (“Referrers”).
Caddie is not an employer of any Candidate and does not act as an employment agency for any party unless explicitly stated in writing.
2. Eligibility and Account Registration
2.1 Minimum Age. You must be at least the age of majority in your jurisdiction (or have a parent/legal guardian’s consent where legally permitted) to use the Services.
2.2 Account Information. You agree to provide accurate, current, and complete information when creating an account and to keep your account information updated.
2.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access or suspected security breach.
2.4 Authority to Bind an Organization. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” includes the organization.
3. The Marketplace: What Caddie Does (and Does Not Do)
3.1 Platform Role. Caddie provides a platform to facilitate hiring-related workflows such as candidate discovery, introductions, referrals, recruiter collaboration, communications, and hiring coordination.
3.2 No Guarantee of Outcomes. Caddie does not guarantee:
  • any hiring outcome,
  • candidate suitability,
  • recruiter performance,
  • employer quality,
  • response rates, introductions, or successful placements.
3.3 No Control Over Users. You understand that Caddie does not supervise, direct, or control Employers, Recruiters, Referrers, or Candidates, and is not responsible for their conduct, communications, or content.
4. Acceptable Use and Restrictions
You agree not to, and not to attempt to:
  • violate any law or regulation (including employment, privacy, and anti-discrimination laws);
  • use the Services for unlawful, discriminatory, unethical, or harmful hiring practices;
  • scrape, crawl, harvest, or extract data from the Platform (automated or manual) except as expressly permitted by Caddie in writing;
  • reverse engineer, decompile, or attempt to discover source code or underlying components of the Platform;
  • bypass security measures, rate limits, access controls, or account restrictions;
  • upload malware or engage in phishing, spamming, or fraudulent activity;
  • misrepresent your identity, company affiliation, or authority.
Violation may result in suspension or termination.
5. Candidate Information and Hiring Compliance
5.1 Permitted Use of Candidate Information. Employers and Recruiters agree to use Candidate information solely for legitimate hiring-related purposes and only as necessary to evaluate a Candidate for a role.
5.2 Legal Compliance. You are responsible for compliance with all applicable laws, including privacy, employment, and anti-discrimination laws.
5.3 Candidate Data Handling. If you download or export Candidate data (where allowed), you must protect it with reasonable security measures and comply with applicable retention and deletion requirements.
6. Recruiter and Referrer Representations
6.1 Consent to Share Candidate Info. Recruiters and Referrers represent and warrant they have explicit permission from each Candidate to share the Candidate’s information (including name, resume, work history, and contact details) with Caddie and with Employers via the Platform.
6.2 No Conflicts. You represent that your participation does not breach any agreement you have with another party (including employment agreements, confidentiality obligations, or non-solicitation obligations).
7. AI and Enrichment Features
7.1 AI-Assisted Services. Caddie may use automated tools (including AI) to enrich profiles, rank candidates, suggest matches, and improve platform functionality.
7.2 Human Review Recommended. You are responsible for verifying outputs and using appropriate human review before making hiring decisions.
7.3 No Sale of Candidate Data. Caddie does not sell Candidate personal data. Use and handling of personal information is described in our Privacy Policy, which is incorporated by reference.
8. Fees, Billing, and Payments (Marketplace + Recruiting Terms)
This Section applies to paid Services, including subscriptions, placement/success fees, platform fees, and other charges presented at checkout, in-product, or in a role posting flow.
8.1 Subscription Fees (Employers/Clients).
If you select a subscription plan, you authorize Caddie (and its payment processor) to automatically charge your payment method on a recurring basis (monthly or annually, as applicable), beginning on the subscription start date and continuing until you cancel in accordance with the subscription terms shown at purchase. Subscription fees are billed in advance and are separate from any Success Fees.
8.2 Success Fee (Placement Fee).
For roles posted or managed through the Platform where a success fee applies, the Employer/Client agrees:
  • The Success Fee is calculated based on the hired Candidate’s first-year base salary, using the fee selection made when posting the role (or otherwise agreed in the Platform).
  • The Success Fee is invoiced when a Candidate accepts and signs an offer.
  • The Employer/Client will provide written proof of acceptance within 5 business days of acceptance/signature.
  • Payment is due within 30 days of invoice.
  • Late payments accrue a late fee of 2% per month on overdue balances (or the maximum allowed by law, if lower).
  • Caddie may pause Services if fees remain unpaid for more than 30 days.
8.3 12-Month Introduction Window.
Any Candidate hired within 12 months of being introduced through Caddie (including via recruiter, referrer, or platform introduction) remains subject to the agreed Success Fee.
8.4 Candidate Ownership / Prior Engagement Notice.
If the Employer/Client previously engaged a Candidate in the 12 months before a Caddie introduction, the Employer/Client must notify Caddie within 7 business days of the introduction. If the Candidate is hired within 12 months of the Caddie introduction, the Success Fee applies unless Caddie confirms in writing that the Candidate is excluded.
8.5 Off-Platform Restrictions (Recruiters/Agencies).
Any Recruiter or agency introduced by Caddie must remain engaged via the Platform for 12 months after the Employer/Client’s last active job post. If the Employer/Client engages that Recruiter/agency outside the Platform during that period, the Employer/Client will pay Caddie 30% of the Candidate’s first-year base salary or the Recruiter’s annualized compensation, whichever applies, unless otherwise agreed in writing.
8.6 No Recruiter Poaching.
The Employer/Client agrees not to solicit or hire (as an internal employee or contractor) any Recruiter, agency, or individual recruiter introduced via Caddie within 12 months of introduction. If breached, the Employer/Client will pay Caddie 30% of the recruiter’s first-year salary (or annualized compensation if a contractor), unless otherwise agreed in writing.
8.7 Replacement Guarantee (45 Days; One Time).
If a hired Candidate resigns or is terminated for performance reasons within 45 days of signing, Caddie will provide one (1) replacement candidate at no additional Success Fee, provided:
  • The Employer/Client notifies Caddie within 5 business days of departure and provides the reason.
  • This guarantee is one-time, limited to one replacement, and does not renew after the replacement is hired.
  • This guarantee does not apply to layoffs, budget changes, role elimination, or other non-performance terminations.
8.8 Other Fees.
Caddie may charge additional fees for add-ons, premium features, expedited services, or other charges displayed in-product at the time of purchase or role posting. You agree to pay such fees if you elect those options.
8.9 Taxes.
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes, duties, and governmental assessments associated with your purchases, except where Caddie is required to collect.
8.10 Payment Processing.
Payments may be processed through third-party payment processors. You agree to comply with their terms as applicable. Caddie is not responsible for processor errors or interruptions.
8.11 Refunds.
Unless required by law or expressly stated in writing, fees are non-refundable. Subscription cancellation stops future renewals but does not retroactively refund prior periods.
9. Confidentiality
9.1 Confidential Information. “Confidential Information” includes non-public business information, hiring strategies, candidate/recruiter information, platform features, evaluation logic, and any non-public communications or materials shared through the Platform.
9.2 Obligations. Each party agrees to protect the other party’s Confidential Information using reasonable care and not to use it except as necessary to use the Services.
9.3 Exclusions. Confidential Information excludes information that is public, previously known without restriction, lawfully received from a third party, or independently developed without use of the other party’s Confidential Information.
10. Intellectual Property
10.1 Caddie IP. Caddie retains all rights, title, and interest in the Platform, including software, workflows, models, algorithms, scoring, enrichment methods, and underlying technology.
10.2 Your Materials. You retain ownership of content you upload. You grant Caddie a limited license to host, use, and process such content solely to operate, provide, and improve the Services, subject to the Privacy Policy.
11. Privacy
Our Privacy Policy explains how we collect, use, and protect personal information. The Privacy Policy is incorporated by reference into these Terms.
12. Security Measures
Caddie uses administrative, technical, and organizational safeguards designed to protect information processed through the Services, including:
  • Multi-Factor Authentication via Clerk.
    We use Clerk as our authentication provider and may require or support multi-factor authentication (such as email verification, authenticator apps, passkeys, or other methods supported by Clerk) to help protect user accounts. You are responsible for maintaining the security of your credentials and for enabling available authentication safeguards.


  • Internal Access Management via 1Password.
    Caddie uses 1Password to manage and protect internal credentials and access to systems used to operate the Services. Internal access is restricted to authorized personnel and governed by role-based access controls.


  • Encryption and Infrastructure Safeguards.
    Data is encrypted in transit and at rest using industry-standard practices and hosted with reputable infrastructure providers.


  • Access Controls and Monitoring.
    Internal access to systems and data is limited to personnel who require access for operational purposes and is subject to monitoring and audit practices.


Important: No system is completely secure. While we implement safeguards designed to protect information, we cannot guarantee absolute security.
13. Term, Suspension, and Termination
13.1 Term. These Terms remain in effect while you use the Services.
13.2 Termination by You. You may stop using the Services at any time. Subscription cancellations take effect at the end of the current billing period unless otherwise stated.
13.3 Termination/Suspension by Caddie. Caddie may suspend or terminate access if:
  • you violate these Terms,
  • your use poses security, legal, or reputational risk,
  • we are required to do so by law,
  • payments are overdue as described in Section 8.
13.4 Survival. Sections that by their nature should survive termination will survive, including payment obligations (as applicable), confidentiality, IP, disclaimers, limitation of liability, and dispute provisions.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADDIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CADDIE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT HIRING OUTCOMES WILL MEET YOUR EXPECTATIONS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADDIE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADDIE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(a) THE AMOUNTS PAID BY YOU TO CADDIE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(b) CAD $100.
(Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the extent permitted.)
16. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Caddie and its directors, officers, employees, and contractors from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
  • your use of the Services,
  • your violation of these Terms,
  • your violation of any law or third-party right,
  • your hiring decisions, offers, employment terms, or workplace practices.
17. Disputes and Governing Law (Ontario)
17.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.
17.2 Venue. Except where prohibited by law, the parties agree that any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Ottawa, Ontario, and each party attorns to the jurisdiction of such courts.
17.3 Informal Resolution. Before filing a claim, you agree to contact us and attempt in good faith to resolve the dispute informally.
18. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice via the Platform or email. Continued use after the effective date of updated Terms constitutes acceptance.
