Welcome to Caddie AI Inc. ("Caddie," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our global hiring marketplace platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these requirements. Our Services are not intended for individuals under 13 years of age.

3. Account Registration and Security

5. Employer and Recruiter Responsibilities

For Employers

When posting roles or using our Services, you agree to:

• Provide accurate and complete job descriptions
• Comply with all applicable employment laws
• Not discriminate based on protected characteristics
• Pay applicable fees on time
• Respect candidate privacy and confidentiality
• Provide timely feedback to recruiters and candidates

For Recruiters

When using our platform as a recruiter, you agree to:

• Maintain appropriate certifications and credentials
• Provide quality candidate referrals
• Screen and vet candidates appropriately
• Respect confidentiality agreements
• Comply with placement fee agreements
• Not circumvent the platform for direct placements

6. Fees and Payment

Subscription and Placement Fees

Certain features of the Services require payment of fees. You agree to:

• Pay all applicable subscription fees and placement fees
• Provide accurate and current billing information
• Authorize us to charge your payment method
• Pay placement fees upon successful candidate hire according to our pricing terms

Refunds

Subscription fees are non-refundable except as required by law. Placement fees may be subject to guarantees as outlined in your service agreement.

7. Intellectual Property

Our Intellectual Property

The Services and all content, features, and functionality are owned by Caddie and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the Services
• Remove or alter any proprietary notices
• Use our trademarks without permission

User Content

You retain ownership of content you submit to the Services (resumes, job postings, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely to provide the Services.

8. Third-Party Services

Our Services may integrate with third-party services (e.g., Slack, payment processors, EOR providers). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for third-party services or their content.

9. Disclaimers and Limitations of Liability

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADDIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL CADDIE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO CADDIE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Caddie and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your employment practices or hiring decisions

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

Class Action Waiver

You agree to resolve disputes with Caddie on an individual basis and waive any right to participate in class actions or class-wide arbitration.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Services after changes constitutes acceptance of the modified Terms.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Caddie regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

15. Specific Terms for Different User Types

For Candidates

As a candidate using our Services, you understand and agree that:

• Caddie is a marketplace connecting you with potential employers and recruiters
• We do not guarantee job placement or employment outcomes
• You are responsible for the accuracy of your profile and submitted materials
• You can request deletion of your profile at any time
• You can opt out of being matched to future opportunities
• Employers and recruiters may contact you based on your profile

For Employers

As an employer using our Services, you understand and agree that:

• Placement fees are due upon successful hire as outlined in our pricing
• You are responsible for all employment decisions and compliance with labor laws
• Caddie does not conduct background checks or verify candidate credentials
• You will respect candidate confidentiality and data protection requirements
• Subscription fees do not guarantee successful hires

For Recruiters

As a recruiter using our Services, you understand and agree that:

• You must maintain certification status to access premium features
• You will be paid placement fees according to our fee structure
• You cannot circumvent the platform to place candidates directly
• You are responsible for candidate screening and vetting
• You must comply with all applicable recruiting regulations
